Terms of Service

These terms govern your use of OsemFlow, a point of sale and inventory management service operated by Kodeywebs Digital Studio Ltd, a company registered in Nigeria, with its registered office at Zone 7 no 224b, Motorcycle spare parts Nnewi, Anambra State, Nigeria.
By creating an account you agree to these terms. If you are agreeing on behalf of a business, you confirm you are authorised to do so.
1. The service
OsemFlow provides web-based software for recording sales, issuing invoices, tracking stock, managing customer balances and producing reports. The service is accessed through a browser at app.osemflow.com.
We provide the software. We do not provide accounting, tax, legal or business advice, and the figures the system produces are records of what you entered rather than verified financial statements.
2. Accounts

- You must provide accurate information when creating an account and keep it current.
- 2.2
- Each account belongs to one business. You are responsible for everything done under your account, including by staff you give access to.
- 2.3
- You are responsible for keeping sign-in credentials secure. Tell us promptly if you believe an account has been accessed by someone who should not have it.
- 2.4
- One person may hold one active session at a time. Signing in on a new device ends the previous session. Sessions end automatically after 30 minutes without activity.
- 2.5
- You must be legally capable of entering a contract in your jurisdiction, and you must not use the service where doing so would breach the law that applies to you.
3. Plans, billing and payment
- 3.1
- The service is offered on a permanent Free plan and on paid plans. Plan limits and prices are published at osemflow.com/pricing.
- 3.2
- All accounts begin on the Free plan. Upgrading is done by you from inside the application.
- 3.3
- Subscription fees are charged in Nigerian Naira regardless of where your business operates or which currency your own records display. Payments are processed by Paystack, with Flutterwave as an alternative. We do not receive or store your card details.
- 3.4
- Paid plans renew automatically at the end of each billing period at the price then published, until cancelled.
- 3.5
- If a subscription payment fails, the account continues unchanged for seven days. If payment is not resolved within that period, the account becomes read-only: existing records remain visible but no new sales, invoices, customer payments or other transactions can be recorded. Continued non-payment may result in the account being locked entirely.
- 3.6
- Reaching a plan limit blocks the action that would exceed it. It does not trigger an automatic upgrade or an additional charge.
- 3.7
- Moving to a lower plan requires your usage to be within that plan's limits first.
- 3.8
- Subscription fees are not refunded. Cancellation and its consequences are set out in our refund policy, which forms part of these terms.
- 3.9
- We may change prices. Changes will not affect a billing period already paid for, and we will give notice before a change takes effect for you.
4. Your data
- 4.1
- The business records you enter remain yours. We claim no ownership over your products, sales, invoices, customers or any other data you put into the service.
- 4.2
- You grant us the permission necessary to store, process, back up and display that data in order to provide the service.
- 4.3
- You are responsible for the accuracy and lawfulness of what you enter, including personal information about your own customers. Where you enter details about third parties, you confirm you are entitled to do so.

- How we handle data is described in our privacy policy.
- 4.5
- Reports export to CSV and PDF, and invoices and receipts download as PDF. There is no whole-account export in the current version. Retrieve anything you need before closing an account.
5. What you may not do
You must not:
- use the service to record or facilitate unlawful activity
- attempt to access another business's data, or any part of the service you have not been granted access to
- probe, scan or test the security of the service without our written permission
- interfere with the service's operation, or place load on it beyond normal use
- resell, sublicense or make the service available to others as your own product
- copy, decompile or reverse engineer any part of the software
- use automated means to extract data from the service beyond the export functions provided
6. Availability
- 6.1
- We aim to keep the service available and reliable, but we do not guarantee uninterrupted access. Maintenance, faults, network problems and events outside our control can all interrupt it.
- 6.2
- The service requires an internet connection. It does not operate offline, and transactions cannot be recorded while disconnected.
- 6.3
- We may perform maintenance that makes the service temporarily unavailable, and will give notice where reasonably possible.
7. Support
Support is provided by email at info@osemflow.com and by phone at +234 814 428 7571 during Monday to Friday, 9am to 5pm WAT. We do not commit to a fixed response time.
8. Suspension and termination
- 8.1
- You may stop using the service at any time and cancel a paid plan from inside the application.
- 8.2
- We may suspend or terminate an account that breaches these terms, that we reasonably believe is being used unlawfully, or where required by law.
- 8.3
- Where the breach is capable of being fixed, we will normally give you an opportunity to fix it before suspending.
- 8.4
- If an account is terminated for breach, no refund of fees already paid is due.
- 8.5
- On closure, your data is deleted from the live system. Copies persist in encrypted backups until they expire under normal backup rotation.
9. Changes to the service
We develop the service continuously. Features may be added, changed or removed. We will not remove something central to how you use the service without notice, but the service you receive is the service as it exists at the time, not as it existed when you signed up.
10. Liability
- 10.1
- The service is provided as it is. To the extent the law allows, we exclude implied warranties including fitness for a particular purpose.
- 10.2
- You remain responsible for your own business decisions. The system records what you tell it. It does not verify that your stock figures, prices, customer balances or cost calculations are correct.
- 10.3
- To the extent the law allows, we are not liable for lost profit, lost revenue, lost business, lost goodwill, or indirect or consequential loss.
- 10.4
- Where liability cannot lawfully be excluded, our total liability in connection with the service is limited to the amount you paid us in the twelve months before the claim arose.
- 10.5
- Nothing in these terms excludes liability for fraud, or for anything that cannot lawfully be excluded.
11. Indemnity
You agree to indemnify us against claims arising from your use of the service in breach of these terms, or from data you entered that you were not entitled to enter.
12. Changes to these terms
We may update these terms. The date at the top shows when they last changed. Material changes will be notified through the service or by email. Continuing to use the service after a change takes effect means you accept the updated terms.
13. General
- 13.1
- These terms, together with the privacy policy and refund policy, are the whole agreement between us regarding the service.
- 13.2
- If a provision is found unenforceable, the rest continues to apply.
- 13.3
- Not enforcing a right immediately does not waive it.
- 13.4
- You may not transfer your rights under these terms without our consent. We may transfer ours in connection with a sale or reorganisation of the business.
- 13.5
- These terms are governed by the laws of Nigeria, and the courts of Nigeria have exclusive jurisdiction over disputes arising from them.
